Client-Provided Content

You retain ownership of content you provide to us. By sharing materials with us, you grant Nimbrix a license to use, reproduce, and modify such content solely for the purpose of delivering agreed-upon services.

Work Product

Ownership of marketing materials, strategies, and deliverables created during service engagements will be specified in individual service agreements. Typically, clients receive full ownership upon final payment.

Confidentiality

We treat client information with confidentiality and will not disclose proprietary information to third parties except:

  • With your explicit consent
  • To service providers necessary for delivering our services
  • When required by law or legal process
  • To protect our rights or property

Termination of Services

Either party may terminate services according to the terms specified in individual service agreements. We reserve the right to suspend or terminate access to our services immediately if:

  • You violate these Terms of Service
  • You engage in fraudulent or illegal activities
  • Payment obligations are not met
  • We cease offering services

Upon termination, you must cease using our services and any outstanding fees become immediately due and payable.

Disclaimers and Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that our services will meet your specific requirements, that results will be achieved, or that our services will be uninterrupted, secure, or error-free. Marketing results depend on many factors beyond our control, and past performance does not guarantee future results.

Limitation of Liability

To the maximum extent permitted by law, Nimbrix shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Damages arising from third-party actions

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to Nimbrix in the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Nimbrix and its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.
